Limited liability partnership

1. What is the differance between a partner and the designated partner?(w.r.t. liability and income)
2. Is the consent of all the partners or designated partners required for admission of a new partner or retirement of a partner(designated or otherwise)?
3.Why should one go for an Limited liability partnership and not for a company.
4.Extent of liabality of partners in various situations

Pls.tell me whether interest paid on late payment of TDS,VAT,Service TAx,or any others statutary dues, which is allowable expenses as per income tax act.? & under what section it is mentioned is it allowable or not?

I read that, even if the object clause of the memorndum of association includes an illegal object & the certificate of incorporation has been issued , the objects would remain unchanged , so what would be the remedy in that case ?

Mr.Rajan, the Manager of Suratmal Jewellers in coimbture called the sales cleark Mr Singh to his office on a bright sunny morning and said " The annual audit is due and the chartered accountants will be coming next week to examine our accounts.I want you to organize all the sales and purchese reciept neatly.You simply can't let your hairdown on this. We must be percieved as a neat and tidy operation and want thing to proceed without any hitch. " Singh just mumbled , "yes sir", and walked out. after returned to his seat he appeared very distracted and could not concentrate on his worked all day.He remained absent the next day, and the day after he walked in with his letter of resignation which he handed over to his superviser, Mr kiran. Kiran was stunned, "what is the problem ?what is wrong? why are you resigning?" asked kiran to which he could not elicit any answar from singh.
kiran took singh out to a nearby hotel and over a cup of coffy and masala vadas he tried to explore the reasons for singh's sudden action. "do you have another job which pays you more?" ,he asked, to which singh repied, " The Manager wants me to shave off my meard by next week and I can't because it is against my religion.c so i am resigning my job, mr kiran."

Company had booked a hotel in which all the facilities are availed by the company.
In hotel, there is a conference room and the company is using the room for conducting a conference and paid a huge sum to it .
My query is whether TDS is applicable on it and which section .

Depreciation

While caculating depreciation as per Companies act for the year i found some bills of erlier year were taken into account. how to calculate the depreciation for those bills, from the date of bill or what?

Section 195

Confirm the TDS rate for Technical fee raised by ( NRI ) company located in England.
I think it should be 10.30% but not sure please confirm.

Section 194C

Hi
Co.has given contract for project to engineering for purchasing machineries and commissioning & installation it.For that they are raising the separate bills for Purchasing machineries ( they procure such machineries from various vendors ) and commissioning & Installation of such machinery.
In this regard whether I have to deduct TDS on both the bills on gross Amt. or only on installation bill Tax will be deducted.
Though I am not sure on which amount TDS is deducted. please advice.
