My company had issued Preference shares. Now we are changing the nature of preference shares form redeemable to convertible shares( in to equity after 10 years). For this purpose as per FEMA guidelines we had to arrive at value of equity shares as per DCF method. Accordingly we arrived at value, which as per FEMA must be the minimum price of conversion in future.
Query
Above change would result in amendment of Authorised capital, AOA,MOA. For that purpose we will have to hold EGM and Preference Shareholders meeting.My query is should the members and preference shareholders must be informed about the valuation report. Is their approval required for the BOD to issue the reclassified preference shares after considering the Valuation Report.

I wanted to ask a query , Till now i have done with my IT/SM topic whole except Flowchart and Decision Table.
I wanted to know that if I leave this two topic as Option . So can i get Option for the same .
I mean i can solve other Question OF IT.

How can I apply for Industrial Training or what is the procedure to get Industrial Training?

We have received advance (by offering cash discount) in the month of March for the services to be invoiced in April.

So, discount will be booked in current f/y or next f/y???????

Is there any change in syllabus of ipcc in may 2012?. Pls tell me about the changes in tax or in any of the subjects.

i am student of ca-ipcc nd going to appear in may2012 it will be mine
4th attempt for ipcc nd only 1 month left for exam .
my problem is that i have study all subjects but i am not feeling
confidence in my work i am always thinking can i be able to pass ,a
lot fear of exam is in me and i know that it will lead to negative
side i can't concentrate fully.
please suggest me proper study planner for left 30 days of april so i
can gain my confidence back as this time i have to pass at whatever
cost.
please reply me as soon as possible.
