Companies (Appointment and Qualifications of Secretary) Rules, 1988 Section 2(3)says:
A company having a paid-up share capital of less than Rs.50 Lakhs may appoint any individual as its whole-time secretary to perform the duties of a secretary under the Companies Act, 1956, and any other ministerial or administrative duties :
No individual shall be appointed as secretary pursuant to sub-rule (3) unless he possesses any one or more of the following qualifications, namely :

(ii) pass in the Intermediate examination conducted either by the Institute of Company Secretaries of India constituted under the Company Secretaries Act, 1980 (No. 56 of 1980), or by the earlier Institute of Company Secretaries of India incorporated on 4th October, 1968, under the Companies Act, 1956 (1 of 1956), and licensed under section 25 of that Act ;

(iii) Post-graduate degree in commerce or corporate secretary ship granted by any university in India ;

My query is:
For a Co. with less than 50lakhs paidup capital, can a CS-Executive pass candidate be appointed as Secretary ? and what does it mean by Licensed u/s 25 of that Act ?

Can a Mcom graduate can also be appointed as secretary ?

dear sir, whether old companies act 1956 completely replaced by new companies act 2013 ? and to incorporate new company new act is applicable ?

If a company wants to do business of taking money to make members and organizing quiz for the members and pay them for the correct answers.

Along with this, the company pays the members commission for further making members and continue the membership tree?

Is doing this business valid and if it is what should be the objects mentioned in the MOA?

Now we are incorporating a Pvt Ltd Company(ie,on 21.10.2013).

My quation is whether to submit MOA & AOA in old format( as per companies Act,2013) or any new format suggested by MCA.

WHETHER SHARE HOLDER HOLDING SUBSTANTIAL INTEREST IN COMPANY CAN ATTEND THE BOARD MEETING??

Who shall sign the Agenda and Notes to Agenda for Board Meeting if there is no comp. secretary ?

one of our group company is going to be delisted. Merchant banker saying that company is not in small company so that delisting will take huge cost and much time. Can anyone give me criteria on which basis we calculate small or big company for delisting purpose ? or any alternative option to convert into small company ?
