Please provide the differences between an Active company and a Dormant Company ?

i have been approached by limited company
for Auditor appointment and ROC compliance's for last 3 years

company incorporated in 2011

nothing is done from incorporation to till date

how the appointment will be done and Roc compliance's ??

Whether it is mandatory to get the due diligence certificate done by a PCS or the CS in service can get it done and sign

I worked in a Limited company for 10-months where my EPF was deducted from my salary, i have a a/c no.also, but when i want to know the balance or status online it shows invalid,

now I am working in an another company, and they will deducted EPF, what should I do? they are saying to open a new EPF account, as the previous a/c no does not show any records.

can any body open or have 2-EPF ACCOUNT as he does have any information about 1st EPF a/c while amount was deducted from his salary....regards

My Company is in a process of changing the name.I have filed form 1A & Notice for EGM has been given to members on 22/02/2014 and EGM is on 10/04/2014 but now as new rules has been notified what is the way out for this? Reply as soon as possible.

A listed company with paid up capital of Rs. 14 crores has Managing Director. It also has ED whole time Director. Earlier ED had been signing all those papers which required CFO to sign the same although there was no Board Resolution to name him as CFO.

My questions are:
1. Can ED- WTD can be appointed as CFO also to fulfill the requirement of KMP as per the new Companies Act, 2013?
2. If yes, only Board Resolution is suffiecient or we need to convene an EGM or can be taken up subsequently at the time of AGM in September,14?

We have pVt.Ltdf.com having paid up capital is Rs.6 cr. so pls. advice us whether as per new companies act,2013 whether is it compulsory to us to appoint a full time co. secretary in our pvt.ltd.co

my firm has get into agreemnet for hiring the place for window display . is it attract the vat or service tax?
or any other applicable tax ?

As per the companies act 2013, can private limited company accept unsecured loan from its shareholders ? and if no then the unsecured loan from shareholders how to deal with . cause no tenure(time limits like deposit) is decided . pl.do do specify related sections.
