Company incorporation

Dear Friends

I have some quires regarding incorporation.

1. What is the stamp duty for incorporating the company in the Pune, state of Maharastra?
2. Can we incorporate from Bangalore. I Mean to say promoters, witness all are from Bangalore. The Last pages of witness & subscription page in MOA and AOA, can they mention Bangalore Address?
3. Which is website where I can see stamp duty for different states.

Please please let me know asap.

Holding & subsidiary

Suppose A Pvt Ltd holds say 50% of shares in B Pvt Ltd. Since holding of A Pvt ltd is not more than 50% it cannot become the holding company of B Pvt ltd u/s 4 of the companies act. So how can it become the holding company by having the management control because since share holding is insufficient how one can take control on the board especially when there are only 2 shareholders involved i.e. in the present case A Pvt Ltd holds 50% & say C Pvt Ltd holds 50% share capital of B Pvt Ltd then if A pvt Ltd wants to have holding status of B then how can it acquire management control.

Disclosure of share holders to ROC

1. Sir what is the penalty under companies act for not disclosing the shareholder details to ROC?
2. Is there any provision under the income tax act requiring to disclose the details of shareholders for every financial year?
3. Can shares be allotted for cash by a company? If yes is there any limit upto which shares can be allotted for cash?

Proxies Power

Please Clarify anyone -

In the Annual General Meeting proceedings,What is the powers/ rights of Proxies
- Can they speak on the debate(on the motion) ?
- Can One person represent as proxy for more than twenty members ?
-Proxies position-- Any proposal from the Member for the appointment of independent Director u/s 257(1) of the Companies Act( without the recommandations from the board)?

purshase of shares from the director

Please advise us on the following:

There are two Public Limited Companies viz. Company A and Company B.
Mr.X is a Director of both these Companies and holding 50% of
shareholding in Company B.

To make Company B, a subsidiary of Company A, Company A want to purchase
the majority of shares held by Common Director in Company B at the price
arrived by Statutory Auditor.

The above transaction is within the limit prescribed by Sec.372A of
Companies Act and Company A passed unanimous resolution at its Board
Meeting.

Whether approval under Sec.297 or any other section of Companies Act is
required.

can any one provide me any section or case law(s) for establishing the fact that "passing of a resolution does not create any legal obligation on the company"
