Do the limits for managerial remuneration for direcotrs in Sec 198, Schedule XIII of the Companies Act, 1956 apply to the private company also?

If a director of holding company is appointed as a representative director in Subisidiary. And Director is paid a sitting fees in subsidiary company.

whether director is entitled for that sitting fees or Holding company to whom he is representing?

please answer my query.

Say Mr X is a managing director of a public limited company who will be re retiring after the tenure of five years, now just after the date of his retirement can he continue as ordinary director upto the next general meeting for confirmation of his re-appointment as managing director?

Form 66 shall apply for the companies, which have paid up capital between Rs.10 Lacs and Rs.5 Crores.

Full time Company Secretary is to be appointed for the companies, which have paid up capital of above Rs.5 Crores. Here, the limit may start from Rs.5,00,00,001/-.

Regarding Form 66 - Whether this shall apply to the said company, which has paid up capital of exactly Rs.10 Lacs or this applies to the companies, which have paid up capital above Rs.10 Lacs say the limit shall start from Rs.10,00,001/-.

Whether the resolution is to be printed on company's letter head or in Bond paper? How this to be maintained? Is there any heading required for each resolution?
