Is it mandatory that all Directors should be physically present in a room to conduct a Board Meeting? Can some Directors use video conferencing to join in a Board Meeting? Will it be a valid Board Meeting?

Dear Friends

A Private Company having a paid up Capital of more than Rs. 1 Crore has entered into a Lease Agreement with one of its Group Company (also a Pvt. Ltd. Company) in which the Directors of the Company are interested and is paying a rent of Rs. 40000/- p.m.

Is this transaction covered u/s 297 and if yes, then CG approval will also be required as the paid up capital of the Company exceeds Rs. 1 crore.

please support your answer with ref. to any notification/ circular/ case laws comes in this regard

My client being Pvt Ltd. Co. having Authorised capital & Paid Capital of Rs.5000000/- & 100000/- respectively as on 31.03.2009. Now during the year 2009-10 the company received unsecured loans from directors of Rs.1550000/- in the month of Nov,2009,Dec,2009 & Jan,2010. However we want to consider the same as share application Money by converting it through Journal as on 31.03.2010 so that we can issue the shares by filing Form No.2 latest by 31.05.2010.

My query is whether it is possible through Hawala/JV & also benificial or not from law point of view.

we are partners of partnership firm and i want to purchase a pvt.ltd.company.is it possible? if it is possible, then what is the procedure?

I had signed a BS for 2008 when I was holding full time COP. ROC annual return filing is pending for that year. Whether digital attachment of signatures in anual return forms would be possible because presently I am holding the status of part time COP.
I had tried but uploading of return is refused.
Pls guide.

what is the time limit for filing of annual accounts and annual returns and one of the company filed its annual accounts and annual returns relating to 2006-07 and 2007-08 in the month of October 2009.and as per section 220 of the companies Act annual accounts must be filed with in 30 days and what is the consequence of filing belatedly.what are the applicable sections?
