Facts:

One Company was required to appoint the Company Secreatry (CS) for the year ended 31 March 2010 u/s 383 of the Companies Act. But the Company appointed the CS in May 2010. Whether the newly appointed CS can sign the balance sheet for the March 2010. And if not whether the incomplinace for not appointing CS will come as a disclosure in notes to accounts ?

A foreign company wants to open a branch office in India( to market its products here). Can the company be formed as subsidiary of the foreign company? If so should the company be formed under the companies Act and will it be given a separate Identity number?

I would like to know the rate at which loans can be granted by bodies corporate to other corporates under the same group.

Further, does any section under the Companies Act limit the rate of interest payable by a Private Company. Please help me with the section.

Also, can a Holding company give an interest free loan to its Subsidiary or a minimum rate is specified.

If i want to see the company profile of a private limited company, from where i could get this information? i tried to check from google but could n't trace it out.

A private ltd company has filed annual returns, Pl & BS until 2006. It has filed returns under income act till 2009. but now the company is not under operation. In the BS 2006, it has got a secured loan from a bank. But as per the current position, the company has settled the loan and it is to get MOS fromm bank.Is the company eligible to file for strike off under easy exit scheme
or
should the copmany file the annual filing until 2009 and then submit form EES 2010?

WHETHER THE BOD & AUDITOR HAS TO SIGN BALANCE SHEET AFTER THE DATE OF AGM. IF THE ANSWER IS NO. " PLS TELL ME, WHEN I AM FILLING THE DATE OF AGM HAS 09/07/2010 & DATE OF SIGNING OF B/S AS 04/06/10 ON FORM 20 (MCA) IT IS SHOWING ERROR, THAT THE DATE OF SIGNING OF B/S SHOULD BE GREATER THAN OR EQUAL TO DATE OF AGM.

I am applying for a company name and the first 2 words of name is similar to an existing company.
Please guide me the process for how to use the name of existing company.
Should I take NOC from existing company at the time of uploading Form 1A.
Please provide me the format of letter/resolution of NOC which is to be attached with Form 1A.
What all process is required in the existing company.
Both the companies are pvt. ltd. company.

Dear All,
I have to issue equity shares at premium in a pvt. ltd. company, date of incorporation of this company is 22/06/2010.
My Question is for which option I should go

1)issue 1,00,000 equity shares @ Rs.10/- as face value and Rs. 1500/- as premium.
OR
2)10,000 equity shares @10/-as face value and Rs. 15,000/- as premium.
Is there any limit for issue of shares at premium ?
Can I go for 2nd option ?

I need a format of a certificate issued by Company secreatry to NSE confirming that Registrars/lead merchant bankers fee have been duly paid by the company.
As comapny had send letter to NSE for asking refend of 1% SD of public issue which was deposited with NSE at the time of public issue.we have check all payment which is duly paid.
