A Public company is presently having 4 Directors.of which 1 is Mng. Dir and all others are Nominee Directors.

Has the company violated the provisions of the Company Law? If so what is the remedy for it?

Also,if the constitution of the Directors is insufficient as per the Company law,what about the transactions entered by the Directors with the same constitution. If such contracts are invalid, then what the Company should do?

Xyz P. Ltd. is shareholder of Abc P. Ltd. holding Sh. Certificate No. 101

Name of Xyz P. Ltd. has been changed and intimation has been given to Abc P. Ltd. Abc needs to issue a fresh share certificate bearing the new name of its holder.

My query is whether the fresh Sh. Certificate will bear the same cert. no.? and what shall be the date of issue such a share certificate?

Whether the date, time and place of the adjourn EGM (due to the lack of quorum) can be decided by the Board of Directors by way of circular resolution.

I work for a search marketing agency in UK as head of operations. We need to register a company in India. I want ot know how would that work. The senario is. The Uk company would be branding and funding for this. They would need a share ofcourse for their investments and brand. I would be managing the entire new firm based in India for which I would be alloted some share. My question is how much should be my share and how would the shares be alloted to the UK Firm. Secondly they also want me to keep involved with the UK operations concerned to there UK Agency. So can i get a salary for that work and shares for the firm in india. is this dual job profile workable or how can this work better.

Is there any specific state code scheulde for companies act for filing ROC Returns? if yes, from where is the list available?

As per Transfer of Profit to Reserves rules, we have to transfer a certain % of current year profits to reserves before payment of dividend. Can a company transfer more than 10 % to reserves? What are the guidelines if more than 10% has to be transferred? Can anyone please provide a calculation format for guidelines conditions for transfer more than 10%?

In case of adjourn EGM of a public company if only one member present, whethet it constitutes a valid meeting and business can be transected at that meeting.

keep the name of the company as “Name International Pvt Ltd”. I was told by CA that I need to pay the Registration Fees / Stamp Duty on a capital of 1 crore in order to have the word “International” in company name. Can anybody verify this and tell me the facts and what will be the actual expense and implications of the name as “name International Pvt Ltd”.
