If yes, how?

Is there any problem if the date of audit report mentioned in the ITR and the date put in the Balance Sheet of a Private limited company is different?

Is filing of Form 23 mandatory when a Director of a Pvt co is appointed as whole time director at the AGM of the Company.


Also give the format of resolution to appoint director as whole time director with Explanatory Statement.

In newly incorporated private limited company can directors can issue cheques(from his personal bank a/c) for advance payments to suppliers of machinery where bank account of the company is not opened and payment is very urgent due to time constraint..

now plz,,guide me that is it possible or not or any other way out,,, also the right accounting treatment for the same...

In a company there was a share holder from whom the has been transfered to another company on 28.08.2010. The main company is alloting shares in March 2010 to the company whose share has been thansfered on 28/08/2009. What shold be its folio. The old one or a new one

A Public company is presently having 4 Directors.of which 1 is Mng. Dir and all others are Nominee Directors.

Has the company violated the provisions of the Company Law? If so what is the remedy for it?

Also,if the constitution of the Directors is insufficient as per the Company law,what about the transactions entered by the Directors with the same constitution. If such contracts are invalid, then what the Company should do?

Xyz P. Ltd. is shareholder of Abc P. Ltd. holding Sh. Certificate No. 101

Name of Xyz P. Ltd. has been changed and intimation has been given to Abc P. Ltd. Abc needs to issue a fresh share certificate bearing the new name of its holder.

My query is whether the fresh Sh. Certificate will bear the same cert. no.? and what shall be the date of issue such a share certificate?

Whether the date, time and place of the adjourn EGM (due to the lack of quorum) can be decided by the Board of Directors by way of circular resolution.
