22 October 2010 Whether the date, time and place of the adjourn EGM (due to the lack of quorum) can be decided by the Board of Directors by way of circular resolution.

Make it sure that you circulate the proposed resolution in draft to all directors who are in india as well as in abroad.

The no. of directors who are in india at the time of circulation of the resolution must not be less than that required to constitute a quorum u/s 287
