Is filing of Form 23 mandatory when a Director of a Pvt co is appointed as whole time director at the AGM of the Company.
Also give the format of resolution to appoint director as whole time director with Explanatory Statement.

No form 23 is not required to be filed for the appointment of WTD. Only form 32 is required to be filed.
You have to pass a Board resolution to appoint WTD in your Pvt company and there is no need for explanatory statement.
Simply pass a BR and file form 32 within 30 days of appointment.

Appointment of Whole Time Directors in pvt company
“RESOLVED THAT pursuant to the relevant provision of the Companies Act, 1956 (including any statutory modification or re-enactment thereof for the time being in force) consent of the board of directors of the company be and is hereby accorded, for the appointment of Mr. Prakash Somani as non-rotational Whole Time Director of the company with effect from 18.04.2005.
RESOLVED FURTHER THAT any Director or Company Secretary of the company be and is hereby authorized to file the necessary returns with the Registrar of Companies.”

For appoint of MD you have to file form 23 as desired by section 192(4) along with form 32.
Rest of the procedure is same i.e. Board resolution etc.
