The company is a running one though filing of annual returns, etc. were pending for past 7-8 years. The address in RoC record is not correct and many documents filed are not shown in MCA portal.Because of wrong address the company did not receive any notice,etc. from RoC.

How to proceed to e-file the back returns?If not possible, how to restore the Company?

Please advise.

A partnership firm is not entititled to be a member of a company since it is not a legal person. The DCA has already issued
a clarification to that effect. Is there
any other way by which a partnership firm
can subscribe for the shares in a company.
Is there any case law in support of this.

plz give me advice on the matter stated below
we have a company in which 5 persons are directors.out of 5,2 persons have not DIN.But these 2 are the first directors of the company(since 1987).In MCA portal signatory detail shows only 3 directors.now the above 2 directors have given their resignation.

my question are:
Q1.Is it necessory to file form 32 for cesstion of director ship?
Q2.what is the penalties for not acquiring DIN?
Q.what is the status of these diretors in the eye of ROC?

Whether surrender value of Key man insurance policy WHEN ASSIGED TO EMPLOYEE IS TO BE included OR not u/s 309 for calculation of ceiling of managerial remuneration.

Mr. X, director in ABC Pvt Ltd resigned w.e.f Jan 2007. However the company neither filed form 32 nor did it show the resignation details in the annual return till date.

Please advise whether such returns filed in the past, after X's registration, be revised?

1. Can we pay to a non executive director for his services other than as a director? any sum as professional charges etc at fixed/changing rates?

2. what if above is Rs10,000/- pm

3.is it contrary - to show as non executive in form 32 and pay him (though other than director services)

5. does deducting tds and showing a non executive director in 194j has got any problems? either for him or a deductor company

I have registered a Private Limited Company with the ROC Delhi and 22days has been passed still i have not receive Original or stamped Incorporation certificate. So what i should do in this situation and normally how many days it takes to reach at the company's regd. office

ABC is an unregistered partnership firm functioning since 1995. Now the partners have decided to register the same.

Would the deed mention about the firm functioning since 1994 or would it be like forming a new firm altogether? What date would be the mentioned in the partnership deed and please provide a sample of such deed.
