I want to know as per which provisons of the Act Co.declares quarterly and annual results and files it to concerned authorities.

Whether it is mandatory to File Cash Flows

Whether as per USGAAP publication of financial statements is required?

Audited/Unaudited Quarterly financial results and Audited Financial Results are filed with the Stock Exchanges where the securities of the Company are listed pursuant to Clause 41 of the Listing Agreement.

There is format provided in the Listing Agreement as per which the Unaudited/Audited Quarterly Fiancial Results and Audited Financial Results are to be published and filed with the Stock Exchanges.

The Audited Balanncesheet along with the schedules froming part thereof, Directors Report and Auditors Report and the Profit and Loss Account along with the schedules forming part thereof are filed pursuant to the proviions of section 220 of the Companies Act, 1956 in prescribed Form 23AC & 23ACA with the ROC within 30 days from the date of the AGM and Annual Return in prescribed Form 20B puruant to the provisions of section 159&160, as the case may be within 60 days from the date of the AGM of the Company.

11 December 2010 Filing of Cash Flow Statement is mandatory in respect of listed companies as per clause 32 of the listing agreement.
For unlisted companies it is optional.
