we have received a letter stating that..

you are requested to deposit Rs. 50 lakhs for utilisation of services. this is inrespect to comply with the provisions of section 297 of the companies act.

what action should we take.
the letter issuing comapny is public company. we are private company. what statutory obligations we should comply with. (our paid up cap. is 15 lakhs).
1. do we need to pass ny resolution.?
2. are we depositing money as it is?
3. suggest the course of action that shud be takem by us.

as per the relevant provision first auditor shall be appoint by BOD within 30days from the date of incorporation.

i want to know that the above 30days counted from which date eg. Incorporation date or date of getting certificate of commencement of business.

If an employee of BRL working in bracket of 4th Pay Commission when he retired. The 5th pay Commission was due for the employee and was eligible for all benefit available as arrear Salary. The employee retires in the year 2002. The 5th Pay commission was due for the period frm 1997 to 2002. The BRl merged with sail from April 2007 wihout doing pay revision. The Sail now revised the salary of the present employee of Brl. Can the ex employee of BRl has any remedy available. Can they claim their arrear due of period from 1997 to 2002. Can a Company directly jump from 4th to 6th pay commission without giving any benefit to their ex employee after Merger.

I just want to view the annual accounts filed by a pvt ltd co with ROC. Can i access to such documents by MCA site by paying fees? what all documents of a pvt ltd co can be viewed by me by paying fee? I came to know that only the documents of a public ltd co is accessible by the general public thro MCA site by paying fee. Is that true?

Interpretation of the words "Borrowed and to be borrowed" - does it mean that the borrowed amount includes the entire sanctioned amount or just only such amount which is actually drawdown by the company

Eg : I had a loan sanctioned for Rs.50cr but i made a drawdown of Rs.5cr,now i want to take another Rs.50 cr from some other bank . My paid-up cap & Reserves are Rs.75cr.
