I have Law Book CA Final of Sh. Munish Bhandari Ji (2009 Edition ). Now for my preparation I want to know about changes in this edition and I have no idea about these changes relevant for exams. So, i want to know whether I have to purchase the latest edition or only some changes I have to take print out for that.

what is the procedure to increase the number of directors in a private limited company? and what statutory compliances are to be fulfilled?

The situation is a Director of a pvt lltd company retires on 31.03.20xx. (Totally two directors). Later a new director joins with effecr from 01.04.20xx.

The financial statements were approved in the board on 30.09.20xx. is it valid one old director and the new director who came in only from 01.04.20xx approve the same?

In relation to filing of annual return to the ROC for the FY which director details should be mentioned old director who was director till last date or the new director can be mentioned?

How could i get the second copy of incorporation certificate.

does i need to pay any fees for that

FOrm 1 18 and 32 filed. payment is also done.
generally how much time roc takes to give a intimation or completion and issue incorp certificate?
when will incorp certificate come.
what is the time limit within roc must process the same?
will there be any enquiry from roc or all online mode?

Generally once return is filed it can be revised by filing the correct return but same charges will have to be paid.
is this right?

i wud like to know if we dont pay the fees of main return filed say within the due date the return will be rejected then later we can file new return right? is this be a chance to avoid paying two time the fees?

In Form 17 under verification part two columns are there for digital signature
One is for charge holder and another is for Assignee

My question is

Whether digital sign.is required for both columns , if yes who has to sign in each column and there designation

For Eg. if charge holder is nationalised bank.

We have incorporated a pvt ltd company during Dec 2009. During 2009-10, there is no transactions. During 2010-11, we have commissioned our industry and coming into production. In this stage, we have to get clarification from experts when we have to file returns both for ROC and Income Tax.
