Statement in Lieu of prospectus

29 January 2011 Dear All,

We are converting company from private limited to public limited.
we have filed form 23.

In this case we need to require to submit STATEMENT IN LIEU OF PROSPECTUS within one month from the date of filing Form 23.

My question is that,
1)What details we require to submit in SLP?
2)Please provide the Draft of SLP.

29 January 2011 You dont need to file form 20 for STATEMENT IN LIEU OF PROSPECTUS as ur company is converted frm pvt to public.
In case of newly incorporated public company STATEMENT IN LIEU OF PROSPECTUS is mandatory but in case of conversion frm pvt to public no need to file STATEMENT IN LIEU OF PROSPECTUS , as provided under relevant sec of Companies Act 1956.

My question is that,

1) Only Filing of Form 23 is sufficient for Conversion from Private to Public?

Or anything other is required to file with the ROC?
