A Pvt ltd. co. "____ financial pvt. Ltd." namely (Incorporated on March 1995) has received a notice from RBI on March 2011 states that " from the previous years balance sheets company's activities seems to be like the NBFC activities. hence stop the bussiness & justify for... previous as company is not registred under sec. 45(1A) as NBFC.
Plz suggest what justification can be given for NBFC activities without reg. u/s 45IA

In case of a holding - subsidiary co plz explain the clause 4(1)(a)of The Companies Act stating " that the other controls the composition of its Board of Directors".

Also plz provide a specimen resolution for formation of a subsidiary company.

Please note that my company has recently got converted into unlisted public oompany. We are in process of regularising the appointment of the managing director of the company. However my query is as the Company has inadequate profits the company has to get approved the remuneration of md from remuneration committee. SO what i have to do is file form 25c (as per the recent circular form the MCA) inserting the remuneration details duly approved by the remuneration committee.

Company-A invested in the Preference Share of Company-B and in turn Company-B wants to invest in Preference Shares of Company A, whether this cross holding of Shares in two Companies is OK.

We are having a unlisted public ltd company. We want to start another Pvt Ltd company. Whether the MD of first company has become also MD of the second company. If possible whether he can get salaries in both the companies.

I took a loan of Rs 1 crore from an investor to open a shop. I pay him interest of 15 lac at the end of the year.

I deduct tax at source from the interest that i pay him. Other than this, how can i inform income tax dept that i pay interest to this person.
