Directors remuneration

As there is amendment in union budget 2012 . If director's remunaration apart from salary is being paid, 10% deduction will be done on th said amount.
What difference basically its talking about.
Whatever remuneration we pay . consider as salary for I. Tax Act and deduct the tax according to slab rate.
Kindly clarify

Query on filing of audit report

A Company has not got its annual account audited for f.y. 2009-10 and now it has done audit for 2 years togeather f.y. 2009-10 and 2010-11.
and auditor is signing audit report on the same date for both of the years.
how can we file Audit Report on ROC for F.y. 2009-10..

I would like to know about Changing the name of a Existing company as EMS HEALTHCARE INDIA PRIVATE LIMITED. Is there is any Minimum Capital Required to name as India? and What about other Procedures. Should i get any NOC Cetificate from anyone.

IF BALANCE SHEET DATE OF ANY PRIVATE LIMITED COMPANY IS AFTER THE DUE DATE OF ANNUAL GENERAL MEETING SAY 21.02.2011, THEN IN WHICH DATE SHOULD THE CO. HOLD ITS AGM & WHAT ARE THE CONSEQUENCES IN FILING OF ROC FORMS??
