Can any one provide me the procedure for shifting office from one ROC to another ROC within state and also all resolution in this regard. i also want to know whether notice in newspaper is required for this purpose and petition is also required before CLB in this regard

My query is...

In Schedule XIII under Companies Act, 1956 Clause C apply in case if the effective capital is negative i.e. less than Zero. then why there is a slab of effective capital in clause c ?????

In my company we had passed board resolutions for the appointment of Additional director cum managing director and he is appointed for a fixed terms of three years.

Now in the ensuing AGM we are passing special resolution for the appointment of Managing director.

But whether I need to pass separate resolution for regularisation under section 257. I am confused because he is appointed for a fixed terms of three years so he is not holding office upto the date of AGM as per under section 260.

Will it be sufficient if I only pass special resolution for appointment of managing director.

My query is whether any maximum cap or restriction so far unsecured Loans from Directors & relatives in case of Pvt.Ltd.Company i.e. closely held company in proportion to Total Share Capital & Share Premium account as per Companies Act.

If yes then provide complete details with relevant section.

As per Section 260 Additional Director is holds office upto the next AGM.

my query is, if there is an EGM before that AGM is in mandatory to regularize such additional director at the EGM or NOT?

a co. has inc. in year 2007..but had not compiled any of the formality regarding roc...authorized capiat 5lac ..paid up 1 lac..co has further issued new shares bt have not filed form 2..bt shown in d books of accounts money recieved..co even wants to appoint new dir for d co. frm back date and remove 1 of d first dir..so now wat r d formalities for dis co. as per roc

Sir undr sec 87(2)(b) of the companies act 1956,it is said that cumulative pref share holders are entitled to attend n vote in a general meeting of a company if prf dvdnd is in arear for more than 2 years....so my qust is will they constitute the qouram in this meeting??
