I am doing training in a Pvt Ltd Company since September 2011 but this time i want to go into another company but the previous company is objecting in issuing NOC. As you know sir/Ma'm that if i am not provided the NOC then my training of 8 months shall not be counted.

Please advice, if there is some possible solution available with me in this matter.

I have a query..a).Appointment of Company Secretary as Director

The Company is an unlisted public company and having 7 Directors..We wants to appoint the full time CS( in employment )and he is a Finance Manager too in the same company as a Director ...IF we appoint the person as Director in the same company by virtue of Provisions and explanations of Section 269 such appointment would be amount to appointment of WD.

But our Ministry has clarified the issue "No need to comply Section 269 irrespective of its applicabilty provided Substantial powers of management is not given to CS on appointment as a Director"

cORRECT ME IF AM WRONG Could anyone please send me the Department clarification for ready reference

What are the procedure to change the director in a private co.

Shares were allotted by a closely held public limited company in the year 2010 but stamp duty was not paid on the issue of share certificates at that time.

As per law stamp duty of Re.1 is payable for every Rs. 1,000 nominal value of shares in Delhi.

Please advice, can the Company pay Stamp Duty now for the shares issued in the year 2010.

How the stamp duty would be paid as the amount of stamp duty is around Rs.25,000/-.

What other remedies are available to the Company.
