MY COMPANY TURNOVER IS RS 10 CRORE AND NOT COMES IN THE AMBIT OF XBRL FILING BUT I WANT TO FILE IN XBRL FORMAT CAN I DO SO?

Dear Experts,

Please provide your view on the followings: -

1. Under Section 58A a private company which has taken loan from Directors, Shareholders and relative have to take Declaration from them that they have not given loan from borrowed money. So this declaration needs to be given at the end of the FY or every time they give loan to private companies.

2. What should be the format of declaration.

3. Also, in the case of Limited companies we have to take declaration from them (Please correct me if I am wrong)

Can anyone please answer to the following query...

In a Public Company ( which is not a listed company) there were 3 directors. On 01/05/2012, two of them ( who were INDEPENDENT DIRECTORS) resigned and on the same day 2 other persons ( who are the promoters of the company) were appointed as EXECUTIVE DIRECTORS through CASUAL VACANCY.
I want to know, can EXECUTIVE DIRECTORS be appointed in place of INDEPENDENT DIRECTORS through Casual Vacancy?

If no, then what is the remedy in the above case?

A pvt co has acquired a partnership firm in consideration of which eq shares are issued for other than cash. a dissolution deed is made for partnership firm, an agreement is made for acquisition and issue of shares and form 2 is also prepared. I have a doubt whether form 3 is also required to be filed and if yes than whether it has also to be sent to ROC physically in stamp paper.. please advice

In a private company if a shareholder has 25% holding, whether he can claim to be a director on the Board of the company?

We have an existing Pvt Ltd Co (2008). We have filed Form No 2 (Ordinary resolution) for issue/allotment of additional shares. and the said form is approved under Straight Through Process ib Oct-11.

However, the said allotment is not reflected in MCA Master Data till date.

We tried to file form for correction of master data, resolution, and the supporting documents Form 2, payment challan, approval of Form 2 etc. But ROC people have not accepted the request saying that you need to make the necessary changes in annual return for year 2011-12 in Form 20B

is their contention correct?

Please advise

is sec.274(1)(g) is applicable to private ltd co.
or it is only applicable to public ltd co.

Can anyone guide me as to from where can i obtain the ROC requirements which needs to be complied with (one time at the time of registration and annual) in case of a newly formed company?
