who will decide managerial remuneration in MNCs,in varoius industries?

giving an example who will set the managerial remuneration criteria,will it become part of AOA?

The remuneration committee will decide the remuneration of managerial person subject to the approval of Shareholders in general meeting of the Company.

The provisions of remunerations of managerial personnel of Companies Act, 1956 will not apply to private company.
