Addjournment of board meeting

11 June 2012 My company's AOA says the quorum for Board Meeting should be three directos. If quorum is not present then the meeting shall stand adjourned next week same day same place and same time unless otherwise agreed by the directors. But AOA is silent in respect of provision of further adjournment. Now if at the adjourned meeting again no quorum is present then:

1. Can we cancel the meeting and fresh notice to be issued.

2. Shall we further adjourne the meeting till next week?

3. Will the meeting be held with the directors present (which may be less than three)and get the resolution passed.

Please suggest.

13 June 2012 Yes you can adjourned meeting or even issue fresh notice to convene board meeting.

However, in case of adjournment also, quorum is must.

What you can do is, pass a resolution by circulation if matter is permitted under section 289 of the Act, which is easier and practicable.
