Director is given declaration as on 27th feb, 2013 and the board meeting is held on 20th march, 2013 and passed a resolution that the effective date of retirement of the director is 27th Feb, 2012 shall it is possible ?
and when i have to filled form 32 the which event date i have to write 20th march or 27th Feb ?
Ours is a pvt. ltd. company in which M.D. was appointed for 5 years and the same expired in the year 2012 and we have not passed any resolution for reappointment. Now we want to increase there remuneration what are the necessary forms or resolution that we are to file and whether we need to intimate it to ROC also.
pls tell me the whole procedure to incorporate a public limited company. i have already incorporated pvt. companies bt never public. now i need to incorporate one. please tell me the extra formalities for public company. i think procedure till CIN is same as private. After that what should i file and which form and under which section i need to read the info about that.

We have issued 1.3 crore Redeemable Pref. Share on private placement basis out of which only 85 lakh shares have been subscribed and allotted. Now, we want to cancel the unsubscribed capital i.e. 45 lakh.

one of our client wants the same registered office address for 2 companies...one company is already registered and one company is under incorporation process..the eform 18 has been asked for resubmission with the given below
The address entered in the form is exactly same as the registered address of other company registered in the system with name.
when i asked one professional he said pass one resolution by saying the total square feet of the company is this much ( 2000 square feet) out of this new company is given this much ( 800 square feet).
