Resolution for retiring the director

Dear Sir,
Director is given declaration as on 27th feb, 2013 and the board meeting is held on 20th march, 2013 and passed a resolution that the effective date of retirement of the director is 27th Feb, 2012 shall it is possible ?
and when i have to filled form 32 the which event date i have to write 20th march or 27th Feb ?

If resignation letter received from director contains the effective date of resignation, than date of resignation mentioned on the resignation letter will be considered as resignation date for all purposes like ROC form-32.
You should file form-32 with 27-02-13 date.
