Allotmtent of shares

Dear Experts,

A Private Company had received share application money last year. The Company has not yet allotted the shares.

Is there any Non- Compliance on the part of the company?

Agm for the private limited company which is not started its operations

Hi Friends, Pls let me get clearity in the following case: One private company incorporated on 15-08-2011. But that company is not started its operation till 20-09-2013. So my queries are- 1. Weather the company is necessary to call AGM & get Auditors report as per companies act or not..? 2. If it is mandatory to get audit report, then what are the points to be covered in that report? Pls give me the clearity with the sections, if possible.

A company has recently been formed. In Form 1,18,32,I conveyed to the MCA portal that the 1st subscribers to the company were 2 individuals. Now they want to add a 3rd person and allot shares in equal amount.

Kindly let me know the procedure to do the same.

Can bank file winding petition against non payment of loan?

Respected Experts,

I have one query, One of Nationalised Bank want to file WINDING UP Petition against Private Limited Company not paid the due loan amount.Bank can do this?
Please Provide me Whole Procedure for winding up of Company and Forms details which are filed with ROC as soon as possible.
