Agm for the private limited company which is not started its operations

Hi Friends,
Pls let me get clearity in the following case:
One private company incorporated on 15-08-2011. But that company is not started its operation till 20-09-2013.
So my queries are-
1. Weather the company is necessary to call AGM & get Auditors report as per companies act or not..?
2. If it is mandatory to get audit report, then what are the points to be covered in that report?
Pls give me the clearity with the sections, if possible.

Your first AGM should have been held by 31.12.2012.
Yes you have to hold your AGM irrespective of the fact that there is no business in the company.
For the points of audit report please get in touch of your auditor.
