I want to know whether a rotational director may be managing director. A company in AGM pass following resolution for appointment of its managing director kindly suggest whether it is sufficient or not

"Resolved that sh. x, who was retires by rotation be and being eligible for reappointment, offers himself for reappointment, be and is hereby reappointed as director of the company and be liable to be retired by rotation."

IF IT IS NOT RIGHT SUGGEST DRAFTING LANGUAGE HOW CAN I DRAFT IT.


Whether I have to file form no. 32.25C & 23 in case of rotational director reappointment also whenever he/she is a managing director.

Can we appoint Manager as Alternate director. Whether this will attact the application of section 314 of the Com. Act, 1956.

Whether a person is to be appointed first as director in Board Meeting (BM) and then subsequently he can be appointed as WTD in next BM OR a person can directly be appointed as WTD in first BM without being appointed as director earlier.

Pl expain the legal position in regard to appointment as WTD in BM.

My query is that a private ltd company if taking loan on hypothecation of C.A,stock.etc or on fixed asset or any other loan then which resolution it has to pass for taking loan or renewal of loan? Can any one give me format of it?

Pvt. Ltd. has received as investment in the form equity partly of the company from PROPI in last financial year but not alloted the share till date and intimate about remittance to RBI within 30 thirty day from the receipts of foreign money. As per agreement,rest amount has not been received from PROI after many times reminder and notice. How and what procedure is forfeiture the amount of money receipts in way of foreign money? What intimate to RBI about the above mentioned matter.
