takeover of proprietorship business

sir i want to know about the various provisions applicable under various statutes when the running sole proprietorship business is taken over by a EXISTING PRIVATE COMPANY WHERE THE DIRECTOR OF THE COMPANY IS THE PROPRIETOR OF THE BUSINESS WHICH IS BEING TAKENOVER. I ALSO WANT TO KNOW ABOUT THE MANNER OF DISCHARGING THE PURCHASE CONSIDERATION WHETHER THROUGH SHARES OR THROUGH CASH. AND IS THERE ANY CONDITION OR LEGAL REQUIREMENT ON SHARES ISSUED BY THE COMPANY. AND WHAT KIND OF RESOLUTION REQUIRED FOR THIS PURPOSE AND WHETHER IT IS REQUIRED TO INTIMATE ROC? PLZ REPLY SOON ITS URGENT.THANKS IN ADVANCE.

Filing with ROC

Dear Members please guide me regarding following query-

In company XYZ there is a casual vacancy in the office of auditors arising due to resignation. Co. appointed Auditors in EGM but didn't file the Resolution for the same. Further Co. called the AGM and is proceeding to file the Annual Return.

Seeking Advice regarding what will be consequences and remedies. Whether co. is liable to pay fine for the default.

Also advise the period within the said resolution was required to be filed.

Annual General Meeting

Dear friends!

if a company is incorporated in the month of October. by what time can it hold its 1st AGM. Will it be 18months form the dt of incorporation or within 9 months from the date of the balance sheet of the FY 2010. Kindly suggest.

What should be the percentage of paid up capital on a fully diluted basis in the following scenario.

* XYZ Pvt Ltd., company has been registered with the Authorised & Paid up capital of Rs. 1 Lakh.
* XYZ Pvt Ltd., is raising funds & the current valuation of the company by the investors is about 4cr.
* The investor is investing about 1 Cr for 20% of the shares with the post funding valuation of 5Cr.

The Questions are:

1. In this case what should be the Authorised / Paid up capital of the company.
2. Should the change be informed to Ministry of corporate affairs & should the value be incorporated in the registration details.
3. How & what number of shares should be allocated to the Investor & the promoters to get desired percentage of 80:20 in favour of the promoter.

Managerial Remuneration

In case of a private limited company (not a subsidiary of a public ltd company), are there any restictions for the remuneration paid to its directors.
The articles do not provide any restrictions.
Is Sch XIII applicable to such companies

disinvestment in foreign sudsidiary

Company A is an Indian Listed Public Limited Company. Company B is a wholly owned foreign subsidiary of Company A. Now Company A is willing to disinvest in Company B and wants to remove it from the list of subsidiary companies of A. What are the compliances to be done under Companies Act, RBI Act, FEMA etc.? Please advise. It is urgent.

PF registration

Res. all,
I got an assignement to get a proprietorship firm registered under PF Act. for the benefit of its manpower. But the problem is I am unaware of the process & legal requirements to be satisfied for the assignment. Please guide accordingly.
