Please solve my query:-

One of mine Public Limited (unlisted) companies director died on 02-07-2011. And we formed e-form 32 somewhere near 24-08-2011.

Our AGM date for the F.Y. 2010 - 2011 is 18-09-2011. Please let me know whether i will show him as director at the time of filing of Annual Return or not. Please guide.

A Private Limited Company can issue equity shares without voting rights? please tell me the exact provisions.

How to file FCGPR Part A for bonus shares As there is no inflow of money? What about KYC from AD? What other documents need to be attached alonghwith the form?

The authority to borrow money is given to Board Of Directors. Can it be further extended to single Director or Managing Director by passing a Board Resolution etc.?
means after this resolution, the Single director will decide about taking loans without passing it by Board Resolution?
