I have two queries related to Board Meetings



1.A Board Meeting has been adjourned for want of quorum.what if there is no quorum in the adjourned meeting also?

2.Please explain what is Passing of resolution by circulation....

In case of conversion of debentures (originally issued at discount)into shares the amount realised(net of discount)on issue of debenture is used as basis for determining number of shares to be issued otherwise it amounts to violation of sec 79 of companies act,1956.Please enlighten why is the provision of sec 79 getting violated

Dear All,

We have a Private Limited company who receive Share Application Money before 1 year and effect of the same has been taken to Last Year Balance Sheet.

Company has not alloted shares in respect of thease application money and they remained in account for the year.

Now my question is if we want to allot thease shares in current year and current date What will be the Procedure and consequences for late allotment?
Can we file Form 2 for current date?

What is a Procedure to change Legal representative of a company when he is representing a limited company in court case and before the judgement company wants to substitute the other person as a legal representative for the same case. who has authorization change it & any CS of the company can substitute the legal representative of the company?

We are going to use our parent company land for our manufacturing activity on 30 year lease basis for which we are going to issue shares to our parent company for the lease value.

Now my question is when the allotment will take place.

Can we give shares for the lease rent payable

Can a Pvt Ltd Company with the Authorised and paid up capital of Rs.1,00,000/- can borrow unsecured loans from directors??
If, yes than can Interest be charged at differential rates to different directors??

Can a private limited company having a paid up capital of Rs.1,520,000 can accept a loan from Director relative/friends, if at all it is taken can they pay the interest.

Please do clarify !

Kindly guide me... whether disclosure of directors need to be taken from directors of unlisted Company also.

Or it is applicable only for Listed Companies.

We have applied for Incorporation of Company and filed Form 1 with RoC.
In MOA, the proposed company mentioned in its Main Objects that it will take over a running firm of one of promoter of company.
Now, some queries have raised from RoC and they require the financials of that firm.
In response to that queries company want to change its main objects and want to delete take over clause.
Can proposed company amend its MOA and resubmit the form 1 ?

When we upload the form -2 on mca site after login all procees done and we pay the fee but when payment is made the system show due to sum prescurinty error u can slove that after upload the form (at that time payment is made by us ). we again submit the form -2 we have SRN no. also bhut system again show same error. we did not get the duplicate copy of challn by Track payment option om mca after login but some fattel error has ben occure.(which i don know) plz. slove the query asap and tell the proceedure how to get the copy of challan or refund the challan (which is submited by 2 times)
