18 March 2012 ( If company is to be incorporated) Pvt Ltd co. has 4 directors A (MD),B (Chairman),C, and D having 40%,30%, 30%, 0%

Ques r :

1 whether we can mention in AOA that "Mr. B shll be the chairman of all board meetings.

2 what are the powers of the chairman if all the directors are against him

3 whether we can appoint MD to retire by rotation.

also whether any extra powers can be given to Chairman

19 March 2012 1. yes, company can mention in AOA that mr.B is a chairman for all board meetings.

2.if all the directors are against him then articles need to be amended first and remove the chairman elect new one.

3.yes, MD can be appointed as retire by rotation.

4. only extra power chairman has is Casting Vote in case of tie in motion.
