Retirement by rotation of directors

Hello,
I am preparing for CA Final May 2017 for the first time-self study.

Haven't been to any coaching classes.

I am strictly following ICAI Study Material and Practice Manual and not referring to any other Author Books.

Re: Company Law-Retirement of Directors by Rotation.

In the study Material it is given that out of 2/3rd, 1/3rd will retire and if it is a decimal Number then "Number nearest to 1/3rd shall Retire".

Further an example is given that If 6 are Total No of Directors, 4 will be liable to retire, and out of 4, 4x1/3=1.33 will retire i.e Only one will retire.

But in the practice Manual Q 5, Pg: 3.5, it is stated as 2 will retire. Which is Right.

I am not clear about the phrase ""Number nearest to 1/3rd shall Retire"". Let me know what it means. Does it mean Rounding off to nearest Decimal or considering any fraction as 1.

Esic

If any employee is getting Salary more than Rs. 21,000 per month then is he eligible for esic deduction or not? And what is the benefits for the deduction? Also if any employee left the one organization and join some other organization in that time he gets the ESIC deduction amount or not? Please Advice.

Labour law advice

I was working in Tata group, company did not confirm my services after probation and not done my appraisal which violates Employee manual policy.

Instead of termination they forced me for resignation.

I want to send them legal notice claiming compensation for damaging my career as even after 6 months I am unemployed.


I want to know impact of my legal notice on my claim as well as on my future job.
It is sure they have unethically forced me out.

Plaint

Respected sir ,
I request for your help in filing a plaint in the matter with following facts. -
X, Y and his daughter Z respectively carried on business in partnership named X & Y Resorts and Hotels. They agreed to reconstitute the partnership with effect from 1stApril 2003. It was agreed that Ms Z upon attaining majority will retire from the partnership business and that she will be relieved off from all the liabilities of the Partnership. Ms. Z had attained majority in 1st February 2003.
However, there was a dispute going on between another firm Ms. R & K Caterers for recovering the amounts due from X & Y Resorts and Hotels. And the former firm had filed a suit against the latter on 1st February 2003 for recovery of amount due. Ms. Z was also made a party to the suit. Ms. Z being a minor was not involved in the decision making or any working of the firm as such.
However, when she came to know about the suit filed against her, she claimed that she cannot be party to the suit and that she is not liable to be made a party to the suit. X contended that she has enjoyed the profits of the firm and now she should also bear the liabilities, and moreover, the services that were consumed by the firm from Ms. R & K Caterers were used when she was still the partner of the firm.
Ms. Z has approached you for consultation on filing a suit against X & Y Resorts and Hotels.


I would be grateful if you could help me file a plaint for this matter on behalf of Ms. Z
