Please solve my query in the following cases :-
1. Suppose RS. 10 is the face value of equity shares and upto Rs. 7 has been called up. Company declares 10% as dividend. Please tell me on what amount dividend will be payable.

2. Suppose in the no. 1 case their is calls in arrear of 100 shares which stood on the balance sheet. Now on what amount dividend will be payable.

3. As per case no. 1 now the company makes final call on 15/09/2008. At AGM held on 30/09/2008 company declares dividend. Now on what amount dividend will be declared. On full value of shares or partly paid amount.

If a contract is made with an outsider for Material with Labour than what would be obligation for Deduction of PF and ESI and on what amount-
1) if Labour charges specifically mentioned.
2) if Labour charges not specifically mentioned.

WE HAD TWO UNITS OPERATING UNDER THE SAME NAME. ONE OF THE UNITS LOCATED IN HARYANA WAS CLOSED AND THE WORKERS RAISED DISPUTE BY NOT ACCEPTING THE COMPENSATION OFFERED TO THEM. FOUR OF THE WORKERS MANAGED TO GET THE AWARD EXPARTE IN THEIR FAVOUR FOR CONTINUITY OF SERVICE WITH BACK WAGES. WHILE THE REST PURSUED THE CASE AT THE INDUSTRIAL TRIBUNAL. WE MANAGED TO SETTLE THE DISPUTE BY PAYING THE WORKERS INCLUDING THREE OF THE WORKERS WHO HAD EXPARTE AWARD IN THEIR FAVOUR. THIS WAS DONE IN THE INDUSTRIAL TRIBUNAL ITSELF. ALL THE WORKERS ACCEPTED THE COMPENSATION AND RELENQUISHED ALL THEIR RIGHTS. BUT ONE WORKER WHO HAS AWARD IN HIS FAVOUR HAS APPROACHED THE INDUSTRIAL TRIBUNAL FOR COMPUTATION OF BACKWAGES TILL DATE INCLUDING THE BENEFITS WHICH WERE AVAILABLE WHILE THE UNIT WAS FUNCTIONING? IS THIS CLAIM TENABLE?

As per clause 49 of listing agreement the Board shall lay down a code of conduct for all Board Members and senoor , management.Is Code of Conduct prescribed by SEBI or company is free to draft code of conduct.

How many directors are required to sign the audited financial statements and what is the related provision in the companies or any other act which mandates the aforesaid.

if the answer is all : then can the board delegate this power to a particular director

We have a partnership firm since 1989 in name and style of M/s Mohit Construction Company,Kanpur U.P.The officials at regitrar of firms decline to register our firms with their office as the name of the firm is ending with 'company'and ask us to either change the name of the firm or get ourselves registered with Company Office.However we are doing contract business with various govt. departments and it is not possible to change the name of the firm neither,beng partnership firm, we can get registered under company law Please guide us
