ESI Related

Dear Sir(s),

I want to know that, whether it is mandatory for an organisation to cover ESI if the organisation has a suitable & best mediclaim insurance policy /group accident policy for it's employees. All the employees are regulary taking benefits from mediclaim / group accident scheme.

Secondly, not a single employee from the date of ESI coverage either has gone to ESI dispensary or, take any ESI benefit.

The company is regularly / timely depositing the ESI dues/returns etc.

Kindly let me intimate if there is any rullings/ provisions to avoid ESI permanently.

Professional Tax

We have given Daily Allowance to our Sales Executive for Conveyance,meeting with distributor,fooding etc Rs. 100 per day. is it include under scope of salary for deduction of Professional Tax?

Leave Encashment

Presently the company pays Leave encashment for unutilised leaves to its employees.

With the aim of reducing its overheads, can a company reduce or make it Zero leave encashment by asking the employees to go on comuplusory leave or the unutlised leaves be lapsed.

i want to just discuss the provision regarding the eligibility of minor to become the director of the company. In company law nowhere it is prohibited to appoint a minor as a director in the company but as per contract act minor will not be able to file his consent to the company or registrar of the company. but this sec 264(2) is not applicable in the private company and also to the public company where sec 264(2) is not applicable.
for ex. appointment of director as per sec 257 or appointment of director by central government by sec 408 and some others are.

can this view is correct that in those situation a minor is being able to work in the capacity of a director of the company.

Rent Agreetment

Hi !
My query is as follow , Plz. Solve this :

1. Mr. 'A' Let out one of his property to Mr. 'B' in which two floor are, but Mr. B took Rent Deed about both floorfor a monthly Rent.

2. Mr. B running his Chemist Shop in one Flour of said premises and one more(second) flour is blank.

3. Now Mr. B want to Let out Second flour(blank) to Mr. C(other person) for a monthly rent.

4. can Mr. B do it and can Mr. C(other perosn)run his Business whitout any hesitation in said Flour or not ?

5. In future, Can Mr. A(owner of Prop.) tke legal action against Mr. C or Mr. B.

6. Further Mr. B and C do not want to inform to Mr. A about said affair.

7. And will Mr. C required to get any new sub tenanting Deed with Mr. B for securing himself and on the basis of Sub Tenanting Deed, will Mr. C encough for getting all other registration for his Business like Service Tax, Sales Tax, or any other ?

1.company is located in USA
2.the above company has wholly owned subsidiary in india
3.the CEO is a US citizen who is also one of the 4 directors
4.two Directors are indians and other two directors are from USA , one of them is CEO cum director
THE QUESTION IS CAN THE CEO, AN AMERICAN ,BUY LAND IN HIS NAME FOR BUSINESS AND RESIDENTIAL PURPOSE IN INDIA.
5.which of the statutes affect the above situations
