a, b ,c are the 1st directors of a private ltd co.

Now X & Y wants to enter as directors of the said co. while a,b,c will resign.

X & Y wants that only they and no other person can be further appointed as director of the co during the lifetime of the co.

The articles mentions that min 2 and maximum 12 directors can be appointed. Hence now X & Y wants to alter this clause in articles.
They want that the article shows that their name as the only directors for the co; max 2 directors; and the clause of additional director be removed .

Is this alteration possible?????????

can a new additional director appointed for a private ltd company be also an executive director of the same company? or the concept of additional & Executive director is totally different ?

doubt regarding date of AGM

If the AGM of the company was last held on 25.09.2009, then what would be its date of AGM for the year 2009-10 ? whether it would be on 25.09.2010 or 30.09.2010 because as per Companies Act the Agm should be within 12 months of the last AGM or 6 months after the Balance sheet Date.
