misc. provisions

1. does the person becoming chairman has 2 votes- one in the capacity of director and second in the capacity of chairman?

2. what is the meaning of contingent notice?

3.what is the time limit for completion of an adjourned board meeting, if it is going to adjourned a number of times? how many times a board meeting can be adjourned?

4.who is first class magistrate or presidency magistrate?

Maintenence of Statutory Registers

Hi Every one,

our client (Listed Public ltd company) is not maintaining some mandatory statutory Registers like Registers U/S 49(1),372A,152,157 etc as no such transaction were entered by company. but where as I am in the opinion that every company should maintain such mandatory registers even though it doesn't have any respective transactions like public deposits, contracts etc. and should write as NIL in the respective columns.

so please clarify that whether my contention is correct or not.

Casual Vacancy Of a Director

As we all know filing F-32 is necessary upon appointment of a person whenever there is a casual vacancy. My Query is when the term of office of the original Director expires(rotation at the AGM), director so appointed in casual vacancy automatically vacates office, unless he is appointed as a Directorat the AGM. In this Particular case, the director so appointed in casual vacancy gets appointed at the AGM.Do we need to file F-32.

Bonus Act

Hi


Is there is any maximum limit of salary/ wages under Bonus Act.....????

after which this act will not apply to the company.....


Acctually a IT sector company is not paying any employee less then 9000/- per month
so in that case Bonus Act apply to that company or not????

As per my knowledge there is no maximum limit of salary for applicability of act
but for computation of bonus only 3500/- will be taken


in that case Bonus act will apply to that comany

pls specify
m i correct???

PF RELATED

Is PF is deducted of Nepal employees?, which is based at Nepal but company is an Indian company based on New Delhi


Can anyone suggest me what to do ?
