A private limited company has not filed its balance sheet & pl account , annual return from last two years i.e, 2008 & 2009. For this it has received a show cause notice from ROC. Company is now willing to file these forms within 10 days. so whether a wriiten reply mentioning the same will be enough or whether i will have to file form 61 for compounding of offences.
As show cause notice demand for not filing of Balance Sheet and Profit & Loss A/c and Annual Return. You just file these document and mention in reply the details of filing.

sir but it is quoted in the notice as follows:-
" in this connection your attention is also drawn to the provisions of section 621A of the Act. In case during the period of notice no compounding application is filed and intimated, prosecution as stated above will be launched."

Necessarily a reply (not in e-form 61) has to be filed with in 15 days from the date of notice stating that the pending returns will be e-filed with in 10 days, as you said, time and request for further proceedings may be kept in abeyance till that time. Try to e-file the pending documents on or before 31st August so that 75 % of the additional fee can be saved.
