12 December 2012 A is a shareholder of XYZ Ltd. on papers only company nothing recd. at time of allotment, but after long time company want to retire/ change shareholder A, and a new shareholder B for same amount of shares. Now, contention of BOD of XYZ Ltd. that B paid amount amount to A for consideration and company striked out the name of A for B.
Is company safe from any compliance / BOD can do so ?
