Hey! Here’s a step-by-step guide to help you understand the process of converting a proprietorship into a Private Limited Company and the related ROC (Registrar of Companies) filings:
Conversion of Proprietorship to Private Limited Company — Key Points & ROC Filings 1. Incorporation of a Private Limited Company Proprietorship cannot be “converted” directly into a company since they are different legal entities.
You need to incorporate a new Private Limited Company by registering with ROC under the Companies Act, 2013.
2. Steps for Incorporation Obtain Digital Signature Certificate (DSC) for the proposed directors.
Apply for Director Identification Number (DIN) for proposed directors.
Apply for Name Approval by filing SPICe+ (INC-32) or earlier INC-1 form for name reservation.
Prepare and file Incorporation Documents with ROC:
Memorandum of Association (MoA)
Articles of Association (AoA)
Declaration by directors and subscribers
Proof of registered office address
File the incorporation application electronically on the MCA portal.
3. Documents Required Identity and address proof of directors and subscribers (e.g., PAN card, Aadhaar, Passport)
