Sir, a company has 3 directors of which one wants to resign, can the company pass a resolution in the board meeting with 2 directors one of which is going to resign and the third director not present at the board meeting.

yes, in a pvt company quorum is 2 and and in your case, quorum is complete. go ahead with resignation.

make sure the director resign not before the board meeting. and tender his resignation in the board meeting
