08 October 2016 Sir, a company has 3 directors of which one wants to resign, can the company pass a resolution in the board meeting with 2 directors one of which is going to resign and the third director not present at the board meeting.

10 October 2016 yes, in a pvt company quorum is 2 and and in your case, quorum is complete. go ahead with resignation.

10 October 2016 make sure the director resign not before the board meeting. and tender his resignation in the board meeting
