Can anybody help me in providing me the following details:

1. Complete procedure for the Conversion of Private Limited Company to Public Limited along with the draft formats of the BR, Minutes, Notice

2. Is Certificate of Commencement required for such Conversion

3. Is filing of statement in lieu of prospectus mandatory

05 November 2011 Hold the proper Board Meeting and obtained the approval of the Board and fixed the date of general meeting for taking approval of the share holder and pass the resolution.

Certificate of commencement is not required.

Statement in lieu of prospectus is required only in case of issue of share by the PVT company.
