Dear Experts,

In lights of provisions of CA, 2013,
1) Can an EGM be held on a National Holiday?
2) and at a place Other than in the city where registered office of the company is situated?

So far, there is no section in CA, 2013 providing for calling and conducting EGM at a National Holiday and at a place other than in the city where registered office of the company is situated.

Please throw some light on the aforesaid cases along with any section, rule, circular, etc.

Cpe hours

I became a member of ICAI in April 2012 & have completed the CPE requirements till calendar year 2013. But I am holding COP since August 2014, so for calendar year 2014 do I have to complete 20 structured CPE hours or its exempt as it my first year of holding COP?

Dear Members
All though this is not a pure area of CA But can you Please help me on the following issue :-
I have applied for a loan on 1.08.2014 from my SBI CREDIT CARD for Rs.10000 (via internet by clicking on an option called "easy money"). Afterwards they sent a cheque on 3.08.2014 but in the Payee name they had written my name as RUBUL DAS-STATE BANK OF INDIA. Than on the same day I had presented my cheque to my banker(Corporation Bank) for clearing. But my Banker said that this cheque can't be cleared as the Payee name is different (since my name is Rubul Das and not RUBUL DAS- STATE BANK OF INDIA). Hence I asked SBI Credit Card division to issue me an another cheque citing reason as mis-match of name and they never did so, hence I have arranged loan from my pvt. sources and thus as my need for loan is over. I asked SBI Credit Card division to cancel the cheque as on 14.08.2014. In the month of October. I was shocked to see my credit card statement which which shows a debit balance of Rs.10000 and interest of Rs.1936 thereon. I have complaint this issue to their customer care executive and she told me that the issue will be resolve in 5 days, again which never happened. Than I receive my credit card statement for the month of Nov and December which again contains interest charges of Rs. 1936 and other penal charges for non-payment of dues. Again I complaint this and nothing happened in this matter and shockingly one of their executive showed at my doorstep and asked for payment.
Now members I want to ask you is it valid to charge interest without actual credit of amount and charging interest merely on the basis of issuance of cheque(which is never cleared). Even if it is valid(which is hardly justifiable) still the question remains same that due to bank's mistake in name why should the borrower feel the heat of interest when he have not utilize the amount...forgot utilize.... the loan amount never gets credited in borrower's a/c and it is all due to failure on the part of Bank.
Further I want to know which Act is applicable on this issue. I mean to say that is their any act or clause which describe the point of time when interest is charged on outstanding loan or amount??? And if possible please quote related case laws.
Further I want to raise this matter with banking ombudsman. So please tell me that- Are these type of issues are within the jurisdiction of banking ombudsman??? If not where should I contest this issue apart from consumer forum???

sir , we invest 2000 in bond of helios plantation and developers ltd on 6th March, 1997 maturity date was 6 th march, 2012 but we forgot to get payment and company status today I watched is dormant company..can I eligible to get my bond in any course...please suggest sir

Sale of charged property and capital gain

sir,
A company, XYZ, has 100 acres of land in its own name. In 2009 it had availed a loan against this property.When there is warrant against this property, owner of the company pledged this property to another one,A, and settled bank's claim in 2011 April. But this is known only to the owner of the company.But accounts does not shown this adjustment, i.e. bank loan is existing in the balance sheet.The owner is compelled to sell 10 acres on behalf of "A" in May 2012.But entire amount is handed over to "A", company has not availed any money, under the agreement between owner and A.Another 10 acres of this property is transferred to one of their employees under a compromise. These transactions are not recorded in accounts.the company prepared Balance Sheet only upto 31/03/2011.
1. In which year these transactions are recorded?
2.What was the capital gain of the company?
3. how much amount are paid to Income TAx?

Industrial training

Hello to all

I am thinking about going for industrial training in the third year of articleship (preferably in Delhi).

I searched on ICAI site and google regarding same. And I found that ICAI issues list of companies where one can go for Ind. Training. or the company should meet any three of the conditions related to their annual turnover , fixed assets and paid up share capital.

But I need some guidance about how to apply for Industrial Training (like where to post resumes) and what other things should I keep in mind (like giving 3 months prior notice to existing employer)?

Applicability of ca act outside india

If CA is resident abroad and wants to practice in abroad alone or along with foreign professional, is he bound by CA Act is he suppose to take COP from ICAI ??? Because as per section 1 CA act is applicable only to INDIA and indian law cannot be enforced outside india but as per section 6 cop is required if you want to practice in or outside india and as per FAQ code of ethics is applicable outside india. confused
