Form "c"

We have raised a sale bill which is OMS sale agaist Form "C" in the month of march.11. Customer has received the bill in apr.12 & they recorded it in F.Y.11-12. Customer is saying they can not give Form "C" for financial year 10-11 instead they will give it in F.yr.11-12. Will sales tax authorities accept this ? If not what is the sollution to this problem?

Capital gain on flats sale

Dear Experts

Please guide for below situation
An ancestral property purchased in 1979 has been convertedc from agricultural to residential.
Now a construction project is going on under an agreement with developer to build flats on the same.
Please explaib tax implications
1. When will capital gain arise on sale of flats or now at the time of construction
2.What exemption can be claimed
3. What will be sole consideration
4. Whether cost of conversion can be taken as cost of improvement
5 Can assessee gift all his share to his sons without attracting tax


According to a case law, land and flats are two different assets and should be taxed accordingly

Preliminary expences

Dear Sir,
One of my client incurred some preliminary expences like Sales tax registration fee etc. at the time of set up his business in FY 2011-12. Now my query is that, should I show it in the debit side of P&L A/c as expences or I should subtract it from Capital of the proprietor in the Liabilities side of balance sheet.
Please advise me.

Regarding works contracts

As per service tax new regime works contracts has different rates for eg. original contracts is 40% repairs/renovations and other is 70% other than above is 60% is it correct.now my doubt is As per rule 2a thus above mentioned rates apply on gross amount charged on invoice less than value of the property involved in goods and vat/sales tax on above is it correct ok here party can claim cenvat credit on input services, capital goods not on input goods is it ok then fine if party his have to claim cenvat credit on input goods any other provision is there for claiming cenvat credit on input goods and one more thing is i had read it some where in case party have interested to claim all cenvat credit including input goods normal service tax rate is12.36% apply on entire gross amount including value of transfer of property involved in goods in thus case party can claim entire cenvat credit is it correct or not please clarify some one

Final law

sec 592 of companies act requires list of directors and secretary to be submitted to d registrar.. And it states the required particulars in case director is individual and in case its a body corporate..
However sec 253 states that only individuals can be directors and no firm or body corporate can be a director.. Pls clarify

My client being an Individual booked from builder under construction flat in Aug 2006 . It will be ready for possession in Oct 2012 . I want to know the following .

1) If He sell before possession , will the gain be LTCG ?


2) If He sell immediately after possession ( means after registry in my name ) , will the gain still be LTCG or He has to wait another 3 year after possession to avail LTCG ?

1. Quota Fee
2. Chamber of Commerce Fee
3. Custom Duty/Demmurrage
4. GSP Fee

Is TDS u/s 194C is applicable on above payments since all above are actuals and re-imbursed to Agents.

Dear Experts,

By the various discussions and articles found in this very good forum, I was able to find out in detail, the various procedural formalities for conversion of a company from that of a private to public.

Now I am in need of one last clarification, in order to effect the process of conversion, a Statement in Lieu of Prospectus needs to be filed with the RoC within 30 days of passing the resolution.

Can any one provide me the format of the Statement which is to be filed with the RoC ?
