Query : What figure we have to give here?
Is the Share Appl Money Actual Received or The share Appl. money Pending for allotment as on 31/03/2012?

We are Pvt. Ltd. , EOU and 100% subsidiary of Japanese company. Our Authorised share capital is divided into Equity Shares and Preference Shares .

90% of Preference shares were redeemed over the period. We want to infuse more equity funds in the company.

Can we reclasify the Preference share( already redeemed) in the Equity shares?

Does such reclasification attracts payment of stamp duty ?

Intial capital was partially issued under approval route & partially under automatic route , do we need to take RBI permission for above said reclasification?

What is the procedure under Fema & Companies act for such reclasification?

Is it essential to get shares valued before issuence?

A Company received Foreign inward remittance of Rs. 25 lacs in August and Rs. 1 Lacs in September. Can the September amount be taken as subscription amount and August one as further allotment one.

in case a company is sub dividing its authoirised capital and simultaneously increasing the same, do we need to file two form 5.

first for sub division and then for increase?

AGM of our company was held on 29th Sept,12. I want to know what is the last date to file various form (23ACA, 23AC etc) with ROC. i.e. 28th Oct,12 (with in 30 days of AGM) or 22nd Nov,12 (as per mca website)..??

One of my client wants extension for AGM as the AGM was not held on 30 sept due to major accident of an Shareholder having more than 50% shares in company.
I want to know that with form 61 we also have to file his hospitalization papers or can ROC have right to check the hospitalization papers of shareholder..???
