Signinig of annual return

27 October 2012 Is it necessary to sign annual report by atleast two directors, one of whom must be managing directors..??

what if there is no MD.??

27 October 2012 The copy of the annual return filed with the Registrar under section 159 or 160, as the case may be, shall be
signed both by a director and by the manager or secretary of the company, OR where there is no manager or secretary, by two directors of the company, one of whom shall be the managing director where there is one.

Provided that where the annual return is filed by a company whose shares are listed on a recognised stock
exchange, the copy of such annual return shall also be signed by a secretary in whole-time practice

27 October 2012 If the company have not MD, then Annual Return will be signed by two directors.

If the company have manager or secretory, then one director and manager or secretary.

27 October 2012 'One of whom shall be the MD Where there is one' means If company has a MD then MD will sign the annual return alongwith a director.

If MD is not appointed in the Company then two directors OR one director and manager / secretary(if any) will sign the Annual return.
