Can any one provide me the format of Board Resolution authorising M.D. of d co. to quash the F.I.R.?

U can draft in the following manner
"RESOLVED THAT Mr............, Managing Director of the Company be and is hereby authorised to do all acts, deeds and things in quashing the F.I.R."
