My Client wants to appoint a director in his company from 01.06.2012.

Can learned members please guide me in the following:

1. Whether any condonation of delay is required to filed?
2. Only additional fees is required to file the Form 32?

If a company takes a bank Guarantee for a specified period from the Bank and against it it mortagages the equitable mortgage of land & building which belongs to Directors,is it mandatory to file a Form 8 for that?

A company strike off in the year 2009 by ROC for non-filing of documents.Now the company wants to restore the name.
Last documents filed by the company in ROC for year 2002.

i have registered a private company with authorised capital of rs. 2,00,000 and issued & paid up capital of rs. 1,00,000 at fsce value of Rs. 10 each. ( No premium at the time of Registration ).

Now i want to issue further shares at premium of Rs.50. ( all the shares will be subscribed by one shareholder only )

We are going to convert one proprietorship firm into private limited company. In that proprietorship firm proprietor is having 70.00 lacs of capital. So, here whether we can start the pvt ltd co. with 1.00 lacs authorised capital & can we convert the 70.00 share captal into unsecured loan to company.
