A shareholder of private limited company gave loan to the company in which he is shareholer, and after few months he transfered his shares, what are the consequences under section 58A ?

What is the limit for the director remuneration payable in private limited company.

I have a query related to appointment of auditor inplace of existing auditor before expiry of term of appointment i.e conclusion of next agm in which they appointed.

M/s ABC Pvt Ltd appoint a Mr X an auditor other then existing auditor in extra ordinary meeting for financial year 2012-2013.
The Company already filed e-form 23B to ROC.and now the company in the month of June remove the existing auditor and appoint new auditor inplace of existing one

so let me know what procedure should be adopted for appointing an auditor by removing existing auditor in EGM

In ABC Private Limited, Mr. S was appointed as Additional Director & Executive Director in Board Meeting in 1997 and was further regularized as Executive Director in General Meeting held in 1998 for a period of five years and again reappointed as Executive Director in Board meeting held in 2003.
Now Board of Directors wishes to reappoint Mr. S as Executive Director in 2008? What compliances are required to be made under Companies Act, 1956?
